Welcome to 7Gen. These Terms and Conditions (“Terms”) govern your access to and use of our website, services, products, and platforms, including any associated mobile applications, provided by 7 Generation Capital Inc. (“7Gen”, “we”, “us”, or “our”). By accessing or using our services, you (“you” or “Customer”) agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using 7Gen’s website or services, you confirm that you have read, understood, and agreed to these Terms. If you do not agree with any part of these Terms, you must not use our services.

2. Eligibility

You must be at least the age of majority in your province or territory of residence and have the legal capacity to enter into a binding contract to use our services.

3. Services

7Gen provides electric vehicle leasing, charging infrastructure solutions, fleet management, and related consulting and implementation services. Specific terms of service may be governed by a separate agreement (e.g., Master Services Agreement or Lease Agreement). In the event of a conflict, the terms of such agreement shall prevail.

4. Account Registration

To access certain services, you may be required to create an account. You agree to provide accurate and current information and to maintain the security of your login credentials. You are responsible for all activities that occur under your account.

5. Fees and Payment

All fees, including leasing payments, installation charges, and subscription fees, are as set out in your service agreement. Unless otherwise agreed, fees are due on a monthly basis and are non-refundable. Late payments may incur interest at a rate of 1.5% per month (18% per annum), or the maximum rate permitted by law. All fees are exclusive of applicable taxes, which shall be the responsibility of the Customer.

6. Intellectual Property

All content, trademarks, service marks, and other intellectual property available through 7Gen’s website or services remain the property of 7Gen or its licensors. You may not copy, reproduce, distribute, or modify any part of our services without prior written consent. Use of our trademarks or branding without our prior written consent is strictly prohibited.

7. Privacy

Our collection, use, and disclosure of personal information is governed by our Privacy Policy available at https://7gen.com/privacy-policy/. By using our services, you consent to the practices described therein.

8. Prohibited Uses

You agree not to:

• Use our services for any unlawful purpose;
• Interfere with or disrupt our systems or networks;
• Attempt to gain unauthorized access to our systems;
• Misrepresent your identity or affiliation with any person or entity.

9. Disclaimers

All services and materials are provided “as is” and “as available” without warranties of any kind, either express or implied. 7Gen disclaims all warranties including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by applicable law, 7Gen shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. 7Gen’s total liability for any claim under these Terms shall not exceed the amount paid by you for the services in the six (6) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless 7Gen and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising from your use of the services or your violation of these Terms.

12. Termination

7Gen reserves the right to suspend or terminate your access to our services at any time, without notice, for conduct that we believe violates these Terms or is otherwise harmful to our interests.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to its conflict of law principles.

14. Dispute Resolution

Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of the Province of Quebec.

15. Amendments

We may revise these Terms from time to time. Any changes will be effective upon posting. Your continued use of our services constitutes acceptance of any such modifications.
